FIRST AMENDMENT TO SERVICES AGREEMENT

SSM Health St. Clare Hospital Baraboo
This FIRST AMENDMENT TO SERVICES AGREEMENT (“Amendment”) is effective upon the date of last signature (“Effective Date”) by and between SSM Health Care of Wisconsin, Inc., a Missouri nonprofit corporation, doing business as SSM Health St. Clare Hospital - Baraboo (“SSM”), and Sauk County Health Department (“PARTY”).
WHEREAS, SSM and PARTY entered into a Services Agreement dated January 26, 2024 (“Agreement”); and
WHEREAS, SSM and PARTY desire to modify certain provisions of the Agreement as set forth below in order that the Agreement, as modified, is acceptable to both parties.
THEREFORE, it is understood and agreed upon by the parties as follows:
1.The Agreement shall renew up to and including January 31, 2026.
2.The following replaces Section 5.3:
Notices. Any notice or communication required or permitted to be given under this Agreementshall be served personally, sent by United States certified mail or sent by email to the followingaddress:

Any change to the notice address listed above must be given to the other party in the same manner as described in this section. The date of notice shall be the date of delivery if the notice is personally delivered, the date of mailing if the notice is sent by United States certified mail or the date of transmission if the notice is sent by email. Each party agrees to maintain evidence of the respective notice method utilized.
3.Exhibit A is replaced with the attached Exhibit A:
All other terms of the Agreement shall remain in full force and effect. If the terms of the Agreement in any way conflict with or are otherwise inconsistent with the terms of this Amendment, this Amendment shall govern and control.
